Terms and Conditions
TERMS AND CONDITIONS (SALE)
DEFINITIONS
The Company shall mean PSP (UK) Limited.
The Customer shall mean any company undertaking or person contracting with PSP (UK) Limited.
1.
(a) Unless hereafter expressly agreed in writing between the Company and the Customer the Customer's order is accepted only on the basis of these Terms and Conditions.
(b) The customer shall be deemed to have accepted the same without variation if these Terms and conditions have been expressly varied by agreement in writing then the Terms and Conditions as varied shall become the Terms and Conditions.
(c) If the customer has by whatsoever means endeavoured to impose terms and conditions at variance with the Company's Terms and Conditions as below the Customer's Terms and conditions shall have no effect.
2. Acceptance
The Company shall only be bound to sell goods or materials or supply any service when a written quote has been given by the Company on its official Quotation form and the Company has acknowledged an order on its official Acknowledgement of Order form.
3. Delivery
(a) Upon delivery of any goods or materials at the place requested the Customer must sign the Delivery Note supplied by the Company and such signature shall be taken to bind the Customer upon these Terms and Conditions.
(b) Any date for delivery quoted shall not be binding on the Company and time as to delivery shall not be of the essence unless otherwise agreed in writing by the Company
4. Prices
Shall be net.
5. Terms of Payment
(a) The Customer shall pay for goods or services by the end of the calendar month following the month of receipt of the same Failure shall entitle the Company to suspend or terminate the Contract.
(b) Payment shall become due immediately upon the commencement of any act or proceedings in which the Customer's solvency is in question.
6. Goods Supplied to Customer's Requirements If the Company falls to supply goods or service to the Customer's specific requirements the Company shall modify repair or replace such goods or services without further charge.
7. Risk
(a) Risk shall pass to the Customer on delivery
(b) The Company does not insure Customer's goods against fire whilst in their possession or under their control.
8. Lien
The Company shall have a specific and a general lien on all materials goods or property in their possession or under their control for all monies or charges of whatever nature and on whatever account due from the Customer.
9. Force Majeure The Company shall not be liable to the Customer if the Company cannot carry out the whole or part of any agreement because of circumstances reasonable beyond its control.
10. Loss
(a) The Company shall not be liable for any loss or damage (whether by fire or otherwise howsoever caused) to the Customer's goods whilst in their possession or under their control unless such loss or damage results in legal liability on the part of the Company. The Company's liability in any event to the Customer shall not exceed the actual cost of replacing any goods lost or damaged.
(b) Subject to these Terms and Conditions and insofar as the law permits the Company shall not be liable to the Customer for any loss of use profit other contracts or any other consequential loss or any damages whatsoever.
11. Confidentiality
All patterns Jigs designs drawings specifications or any other information provided by the Company are to remain the Company's property. They must be treated as secret and confidential and surrendered to the Company on demand. They must not be copied or communicated to any other party without the Company's consent.
12. Inventions
Any invention or discovery made by the Company or its servants officers or agents during work carried out under any agreement shall belong to the Company who shall if necessary apply for letters patent.
13. Government Contracts
(a) If the work carried out by the Company is In connection with a Government Contract and the Customer fails to disclose this information these Terms and Conditions shall apply.
(b) If the Customer makes such a disclosure then the Customer must present the terms and condition of the of the Government Contract to the Company and if the Company decides to accept the Order ultimately placed by the Customer the terms and conditions of the Government Contract shall apply only where they are at variance with any contained herein Otherwise the Company's Terms and Conditions shall apply.
14. Dangerous Goods
The Company will only accept such goods by special arrangement and it is a condition of acceptance of such goods on to the Company's premises that full disclosure of all relevant information in connection with those goods is made and the customer shall indemnify the company against all claims and damages arising out of or in connection with such goods whilst such goods are in the Company's possession and under its control.
The Company reserves the right to cancel without liability the Contract for the packing of such goods in the event of the Company's Insurers refusing or withdrawing insurance cover.
15. Law of the Contract
English law shall apply and the Customer shall submit to the jurisdiction of the English Courts.
